AB is pushing at least 8 wholesalers out of its system in what amounts to a mass forced sale for equity agreement violations. This is unlike anything previously seen, at least in the AB system. And it's even more notable at a time when AB is finally gaining share after yrs of losses. Why go there now? Did AB simply find violations that it could not forgive or work with distribs to cure? Or are there other objectives/agendas? AB has remained silent on this so far. Not many details are known. Many think there's more to this than just what these distributors did. It all started with Busch Light Peach, according to most sources (tho other issues may have come into play). In each of these distrib situations, AB reportedly found distribs were knowingly selling old Busch Light Peach into the market. That is a violation of AB's equity agreement, which can give AB grounds for termination. But some question whether selling old beer should be a terminable offense if distribs not given an oppy to cure. Would that even be legal in states with strong franchise laws? On other hand, INSIGHTS has heard whispers of the "f" word, fraud, for the first time in decades. Whatever its reasons, AB presented these distribs with essentially no choice. It demanded they turn in Exhibit 5, declaring their intent to sell their business within 4 months, or face the prospect of termination.AB made this demand of mostly smaller wholesalers, with over half in a handful of midwestern states, some of whom have been distribs for generations. None are choosing to fight in court, at least yet. Instead, some have initiated a sale process. INSIGHTS will not reveal names we know about at this time. Would AB prefer if this didn't become public? Perhaps. At same time, is AB trying to send a message?This shocking development quickly became widely discussed in AB's system and beyond over the last 2 weeks. It's seen by many as part of a pattern (even while there is widespread agreement that selling overage beer violates AB's agreement). This is the most impactful of several moves AB made this yr, which collectively show AB seeks more control over its network, creating significant distrib unrest in the process. Those include pulling Nutrl from equity distribs in CA, sending a MET (market evaluation team) to CO to investigate influential distrib Eagle Rock, finding over 100 distribs out of compliance. All this is happening following devastating losses amidst the Bud Light crisis in 2023 and continued declines since then.To counter these narratives of unrest and ongoing declines, two of AB's largest distribs, Hensley ceo Andy McCain and Redwood prexy John Johnson reached out to set up an Aug 11 phone call with INSIGHTS and BBD. About a dozen distribs were on the call, including current and former panel chairs. These distribs talked almost uniformly about how strong their relationship is with AB, how much they appreciate its "massive" investment AB is making and what a fine job AB mgt has done. "The partnership is at an all time high," said Redwood's John Johnson. That's a surprising statement, since John was an AB region veep in period when AB grew volume and share year in and year out.Following that call, other distribs countered the counter. They called out those AB distribs for simply carrying AB's water. "I have been surprised by distribs kissing AB ass, but this is next level," said one. "I talk to lots and lots of AB distribs every single week, and not one that I know of has the feelings described&hellip;. Not one. There is real angst in the system, I know you have to have heard it from plenty of others - this is ridiculous." Others echoed those comments, tho there is appreciation of AB's investments and achievements with some brands too.Many are left wondering what AB is up to here. AB shipped too much Busch Light Peach and it didn't sell thru. In some cases, AB sales people reportedly offered discounts (verbally) that didn't materialize. Distribs were stuck with out of code Busch Light Peach and had to bear 100% of costs if they picked it up. Some made the wrong choice(s). And now they are being asked to pay the ultimate price.Several smaller distribs apparently got caught in this net. But were the standards applied uniformly? Were others forgiven for similar transgressions? Apparently whether ownership knew about it or not really mattered to AB. Whatever is really going on remains largely unknown. AB's system is broadly in the dark on this. That's led to widespread speculation that this is "coordinated" effort, aimed at getting some of its smaller distribs out.But if they are selling under duress, will these distribs be able to get fair value for their bizzes? While AB hasn't terminated a distrib since the famous Maris case in the 90s, these forced sales show AB flexing its muscle in new ways that are undoubtedly disconcerting to a large number of its distribs.There's already a heightened level of distrib consolidation, especially in AB system this year. Recall, Paragon's Randy Jozwiakowski predicted a record number of transactions this yr, over 30, even before this happened. But if many of these 8 sell before yearend, that about clinches 30+ in 2025. And there continue to be many rumblings about more AB deals with wine and spirits wholesalers, especially Southern Glazer's Wine & Spirits, possibly imminent. The world of alc bev distribution is changing dramatically in 2025 on many fronts; expect more big changes.
